Namyt Terms of Service

1. Who we are and what these terms cover

Namyt (namyt.com, the @NamytBot Telegram bot, and the Mini App running inside it) is owned and operated by Individual Entrepreneur (FOP) Kateryna Pertsiukh (Ukrainian: Перцюх Катерина Анатоліївна), Ukrainian taxpayer registration number (RNOKPP) 3181812284, registered address: 9 Davydovskoho Lane, Apt. 21, Poltava, 36004, Poltava Oblast, Ukraine ("Namyt", "we", "us"). These Terms of Service ("Terms") govern access to and use of Namyt.

By registering with Namyt as a Consultant, or by opening a booking link as a Guest, you agree to these Terms and to the Privacy Policy, which is incorporated by reference.

For users in Ukraine, these Terms constitute a public offer within the meaning of Articles 633 and 641 of the Civil Code of Ukraine — a proposal to conclude a contract on the terms set out here, addressed to an indefinite circle of persons. Acceptance (Civil Code Article 642) happens without a signed document — by registering, by using the Service as a Guest, or by paying for a subscription, whichever occurs first. Namyt does not refuse to contract with any user who accepts these Terms, except as expressly provided in the Terms themselves (e.g., Section 10).

2. Definitions

• Service — the namyt.com website, the @NamytBot Telegram bot, and the Mini App running inside it.
• Consultant — a person who has connected a Google Calendar to Namyt in order to accept meeting bookings.
• Guest — a person who books a meeting through a Consultant's link, without holding a separate Namyt account.
• Booking — a confirmed meeting created as an event on the Consultant's Google Calendar.

3. Description of the service

Namyt is a meeting-scheduling tool that runs inside Telegram. A Consultant connects their Google Calendar; Namyt reads free/busy information, builds a grid of open time slots, and shows it to the Guest inside the Mini App. The Guest picks a time, Namyt creates an event on the Consultant's calendar, generates a Google Meet link when configured to do so, and sends reminders to both parties.

Namyt is not a party to the meeting arranged between the Consultant and the Guest. We do not provide the underlying professional services (counseling, legal, tutoring, or otherwise) and do not vet Consultants' qualifications. The content, quality, and outcome of any meeting are solely between the Consultant and the Guest.

A Consultant may publish information about themselves and their services on their booking page: a description, up to four links, the price of the service, questions for Guests, and a reminder text. A price stated by a Consultant is information only: Namyt does not accept payment for a Consultant's services, takes no part in it, and is not a party to that payment (Section 8). The Consultant is solely responsible for the accuracy of this information and for complying with applicable law, including consumer-protection law.

4. Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts under applicable law to use Namyt as a Consultant. By registering, a Consultant confirms they are acting on their own behalf or on behalf of a business entity they are authorized to represent.

The Service is not directed at children. We do not knowingly collect data from anyone below the minimum age Telegram itself requires for use of its services (currently 13) — see the Privacy Policy for detail.

5. Consultant accounts

A Consultant account is created automatically the first time the bot is started, using data Telegram provides (id, name, username, avatar). There is no separate signup form. The Consultant is responsible for:

• the accuracy of working hours, meeting duration, and other settings they configure;
• maintaining control of their Telegram account, since it is the sole means of accessing Namyt;
• all activity that occurs under their account.

6. Connecting Google Calendar

To accept bookings, a Consultant connects their primary Google Calendar via OAuth. Namyt requests only the access needed to power its features: checking availability (free/busy) and creating, updating, and deleting events tied to Namyt bookings. A detailed justification for each requested permission is provided in the Privacy Policy.

A Consultant may at any time:

• disconnect Google Calendar from Namyt in the Service's settings;
• revoke access directly from their Google Account settings (myaccount.google.com → Security → Third-party access).

After disconnecting, Namyt stops reading the calendar and creating new events; events already created on the Consultant's Google Calendar are not automatically deleted. If access is lost (a token is revoked or expires), the Service notifies the Consultant and prompts reconnection; new bookings are not possible until access is restored.

7. Guest use of the service

A Guest does not create an account. By opening a link from a Consultant, the Guest shares with Namyt the data Telegram automatically attaches when launching the Mini App (id, name, username, and, where available, a profile photo). By using the Mini App to book a meeting, the Guest agrees to the Guest-facing portions of these Terms and to the Privacy Policy.

After a booking is successfully created, the Guest may separately be shown Telegram's native prompt requesting permission to message them directly (requestWriteAccess). This is used only to send confirmations and reminders. Declining does not cancel or change the booking that was already created — see Section 8 of the Privacy Policy for detail.

8. Cancelling a booking

A Guest can cancel their own booking through the same link used to create it; identification relies on their Telegram account, with no further verification required. A Consultant can cancel any booking from their side; the Guest is notified if they granted messaging permission (Section 7).

Namyt takes on no obligation regarding refunds of any amount a Guest pays a Consultant directly for the underlying meeting (a prepayment) — that is a matter between the Consultant and the Guest, and Namyt does not act as an intermediary in it (Section 10).

9. Pricing, payment, and billing

Namyt offers a free plan limited to 5 confirmed bookings per month (unlimited for the first 14 days from the first confirmed booking) and a paid Pro plan with the additional features listed on the namyt.com pricing page.

Where the subscription is paid. The Pro subscription is purchased and paid for exclusively on the namyt.com website (sign-in via Telegram). Namyt does not accept payment for the subscription inside the Telegram bot or Mini App, including with Telegram Stars; the Mini App only shows the subscription status.

For Consultants located in Ukraine: Pro costs UAH 299 per month or UAH 2,388 per year (equivalent to UAH 199 per month). Payment is collected in hryvnia through "plata by mono" with recurring automatic charges. The seller of record is the FOP (Kateryna Pertsiukh). Full details appear in Section 1 of these Terms and on the payment page.

Who may buy the paid subscription in hryvnia. Payment in hryvnia is available to Consultants who are individuals resident in Ukraine, and to sole proprietors and legal entities that are single-tax payers. By purchasing, the Consultant confirms that this condition is met: they are not a non-resident of Ukraine and are not on the general taxation system (not a corporate income tax or VAT payer). To check this, Namyt uses the country of the IP address and the country of the card-issuing bank (Privacy Policy, Section 3). If neither is Ukraine, or if the confirmation turns out to be untrue, Namyt may cancel the subscription and refund the current period.

For Consultants outside Ukraine (once this option is enabled): payment is collected through Paddle. For these transactions, the seller (Merchant of Record) is one of Paddle's legal entities, determined by the Consultant's location as a buyer: Paddle.com Market Limited (United Kingdom, company no. 8172165, 30 Old Bailey, London, EC4M 7AU) for most countries, including all of Namyt's first-wave markets (Poland, Czechia, the Baltics, Georgia, Kazakhstan); Paddle.com Inc. for buyers in the United States; Paddle.com (Canada) Ltd for buyers in Canada — not the FOP (Kateryna Pertsiukh). Paddle's own Buyer Terms, available at paddle.com/legal/buyer-terms (as of 28 August 2026; Paddle may change its list of legal entities), apply to these transactions. The price for these Consultants is shown on the pricing page in the payment currency. Until Paddle is enabled, Consultants outside Ukraine may only use the free plan.

Cancellation, price changes, and refunds. Subscriptions renew automatically until cancelled. You can cancel at any time on namyt.com or by writing to hello@namyt.com; cancellation takes effect at the end of the period already paid for, after which no further charges are made. We will notify you of a price increase at least 30 days before your next charge; the period already paid is not recalculated. Amounts paid for the current period are not refunded, except in the cases described in the Refund Policy and where applicable consumer-protection law, or Paddle's terms for the relevant transactions, expressly require a refund.

10. No service to users in Russia or Belarus

Namyt does not provide services to individuals located in the Russian Federation or the Republic of Belarus, nor to residents of those countries regardless of their current location, to the extent this can be determined by available technical means. When registering, a Consultant confirms via a checkbox that they do not fall under this restriction.

We apply technical measures to detect such cases (country determination via the CF-IPCountry header from Cloudflare) and reserve the right to suspend an account reactively, without prior notice, if we find this section has been violated, with no refund for any period already paid.

This restriction does not apply based on a Telegram language_code setting alone — the Service does not block or limit users solely because their Telegram interface is set to Russian.

11. Prohibited conduct

You may not: use the Service to send spam or unsolicited messages; attempt to circumvent technical limits (the free-tier cap, geo-blocking); use automated tools to mass-create or mass-cancel bookings without a legitimate purpose; violate Telegram Bot API usage rules, including message-rate limits; place unlawful, abusive content, or content that infringes third-party rights, in meeting titles or descriptions.

Consultant's booking page. The Consultant is responsible for everything they enter in the description ("About me"), the links, the price, the questions for Guests, the reminder text, and the short link. In these fields and in reminders sent by the bot, you may not:

• post payment details (bank card, account, or wallet numbers), links to payment or fundraising (payment pages, fundraising "jars", donation and subscription services), or requests to transfer money; Namyt does not accept payment for Consultants' services, and the Service is not intended for that;
• ask Guests, through the questions feature, for health data, racial or ethnic origin, religious or political beliefs, passport or payment data (including a bank card number), or any data not needed for the meeting; the Consultant is responsible for the lawfulness of collecting such answers and for informing Guests of the purpose of collecting them within the Consultant's own activity;
• impersonate another person or organization, or mislead Guests.

Short link. The Consultant chooses the name for their short link. Names are issued first come, first served and give the Consultant no rights in the name. You may not choose a name that matches another person's name, surname, or pseudonym, a trademark or organization name you have no rights to, the name Namyt, or a name that creates an impression of official status or affiliation with Namyt, Telegram, or Google (for example, support, admin, official).

Namyt's measures. If a field, text, or name violates this Section, Namyt may, without prior notice, reject, hide, change, or remove it, release or reassign the name without compensation, and, for repeated or serious violations, suspend display of the booking page. Complaints from rights holders and from persons whose names are used without their consent are accepted at hello@namyt.com. Namyt will tell the Consultant about the removal or change of a name through the bot where technically possible.

12. Intellectual property

The "Namyt" name, logo, and related brand elements belong to the FOP (Kateryna Pertsiukh). These Terms grant no rights in the Namyt trademark, logo, or brand identity to a Consultant or Guest beyond the right to use the Service as intended.

13. Account deletion

A Consultant may delete their account at any time from the Service's settings (Settings screen → Delete account). Deleting an account:

• immediately disconnects Namyt's access to the Consultant's Google Calendar;
• stops any active subscription (with no automatic refund for the current paid period unless law requires otherwise);
• results in deletion of the Consultant's personal data on the schedule described in the Privacy Policy.

14. Disclaimer of warranties

The Service is provided "as is." We make reasonable efforts to keep it reliable, but we do not guarantee: the absence of technical faults; uninterrupted availability of Telegram, Google Calendar, Google Meet, or the payment systems Namyt depends on; or that a Guest will attend a booked meeting, or that a meeting will proceed as the Consultant expects.

This disclaimer does not exclude or limit liability for willful misconduct or gross negligence, and does not deprive a Guest or Consultant of rights guaranteed under Ukraine's consumer protection law and (where applicable) EU Directive 93/13/EEC on unfair terms in consumer contracts. Since a Guest does not pay Namyt directly, this disclaimer only concerns the absence of an outcome guarantee (e.g., that the meeting will happen) — not a way to limit compensation.

15. Limitation of liability

To the extent permitted by applicable law, Namyt is not liable for indirect, incidental, or consequential damages arising from use of the Service. Namyt's total liability to a Consultant for any claim relating to the Service is limited to the amount the Consultant paid for their subscription in the three months preceding the claim.

This cap does not apply to liability for willful misconduct, fraud, or gross negligence, or to death or personal injury caused by Namyt's fault — such liability cannot be limited under any applicable law. Since a Guest does not pay Namyt directly, the monetary cap ("the amount paid in the preceding three months") does not apply to them — for a Guest, Namyt's liability limitation is reduced to the carve-outs listed above.

16. Changes to these terms

We may update these Terms. We will notify you of material changes through the bot or on the pricing page at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

17. Governing law and disputes

These Terms are governed by the laws of Ukraine. Disputes are resolved in the courts with jurisdiction over the FOP (Kateryna Pertsiukh)'s registered location, except where mandatory consumer-protection rules of a Guest's or Consultant's country of residence require otherwise.

18. Severability

If any provision of these Terms is found invalid or unenforceable, that does not affect the validity of the remaining provisions, which continue in full force.

19. Third-Party Services (Zoom Integration)

If you choose to connect your Zoom account to Namyt, you acknowledge and agree that your use of Zoom services is governed by Zoom's Terms of Service and Privacy Statement. Namyt is not responsible for the availability, security, or functionality of Zoom's platform. You are solely responsible for all meetings conducted via your Zoom account, including compliance with applicable laws, meeting participant consents, and Zoom's acceptable use policies.
